1. About these terms

These terms cover Sourceweave accounts, software and subscriptions supplied by Sourceweave Ltd, company number 17416212, registered in England and Wales, at 71–75 Shelton Street, Covent Garden, London WC2H 9JQ. Contact support@sourceweave.app. A consumer is an individual acting wholly or mainly outside their trade, business, craft or profession. Consumer rights depend on your purpose, not the name of your plan. You must be at least 18. Keep account information accurate and sign-in methods secure; tell us about suspected unauthorised access.

2. What you are buying

Sourceweave is a local-first agent development environment with desktop software, account services and a mobile companion. The features, supported platforms and system requirements published on our product and download pages before purchase form part of the description of your purchase. Connected features require internet access and may require separate third-party accounts. Model subscriptions and API usage are not included. Preview features are identified as such; this does not remove your statutory rights.

3. Licence and your work

Your subscription gives the named account holder a non-exclusive, non-transferable licence to install and use Sourceweave on their own devices for personal or commercial work while access is active. It is not a shared team licence: each other user needs their own account and access. You retain ownership of your projects, files and content after cancellation or expiry. We do not claim ownership of generated output; third-party rights and provider terms may apply. Expiry does not transfer your work to us, although paid features cease to be available. Our software, branding and documentation belong to us or our licensors. Do not redistribute or resell protected software or reverse engineer it except as permitted by law.

4. Connected services and responsible use

Opening a local project does not itself upload it to us. Using models, integrations, remote connections or support may transmit information to the selected recipient. Those providers have separate terms, charges and privacy practices. Do not use Sourceweave unlawfully, infringe rights, distribute malware, obtain unauthorised access or evade security or billing controls. Review generated code and commands and keep suitable backups. These responsibilities do not exclude our liability or your statutory remedies.

5. Ordering, payment and renewal

Choose monthly or annual billing, review the price and correct your selection before paying in Stripe Checkout. Prices are in US dollars; the final total and any included tax are shown before payment. Your bank may charge separately for currency conversion. Clicking the payment button places an order with an obligation to pay. Your paid contract begins when payment succeeds and we confirm your subscription. We provide a retainable purchase confirmation. The plan renews automatically for the same billing interval until you stop renewal. Annual billing is one annual payment, not monthly instalments or a free trial. Stripe processes payment; we do not receive your full card details.

6. Cancellation and withdrawal

Manage Subscription opens Stripe billing controls, where cancelling renewal keeps access until the end of the paid period. Withdrawing from the initial contract is a separate action, available through Withdraw from subscription in your account or by contacting us. Our Cancellation and Refund Policy forms part of these terms. We offer consumers a full refund when they notify us within 14 days after the day of their first subscription purchase, even if they requested immediate access and used the software. We do not use immediate access to take away that promise. Other statutory cancellation and refund rights remain available.

7. Quality and remedies

Paid digital content must be of satisfactory quality, fit for a purpose made known to and accepted by us, and as described. Services must be performed with reasonable care and skill. Consumers may have rights to repair, replacement, repeat performance, price reduction, refund or compensation, depending on the problem and applicable law. Statutory rights concerning damage to devices or other digital content are preserved. A fault remedy does not necessarily end your subscription; we will explain the proposed remedy. Contact support if the software is faulty, misdescribed or unavailable.

8. Changes to price and service

We may make changes reasonably needed for security, legal compliance, compatibility or service improvements. We will not retrospectively increase the price of a paid period. We will give at least 30 days’ notice by email of a renewal price increase or a material adverse change to paid features, explaining the change, its date and how to leave. Where urgent security or legal action prevents advance notice, we will explain as soon as reasonably possible. If a change materially reduces the paid service, you may end the affected contract and receive a proportionate refund for the unused affected period. If we discontinue a paid service, we will stop renewal and refund the unused affected period. Minor changes do not remove rights relating to the original description.

9. Suspension and termination

We may restrict access where reasonably necessary for security, legal compliance, serious misuse or non-payment. We will act proportionately, explain the reason unless prohibited by law or doing so would compromise security, and give a reasonable opportunity to correct a remediable breach. You can ask support to review a decision. We will restore access when the grounds are resolved. If we end a paid service for reasons other than your breach, we will refund the unused affected period. We will not automatically forfeit prepaid fees as a penalty; any deduction must be lawful and proportionate. Suspension does not prevent you contacting us to cancel, withdraw or claim a remedy.

10. Liability

We do not limit liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any liability that cannot lawfully be limited. For consumers, we are responsible for foreseeable loss caused by our breach; we do not exclude statutory digital-content or service remedies. We are not responsible for losses that were not reasonably foreseeable or business losses where you purchased wholly or mainly as a consumer. For business customers only, and subject to applicable law and reasonableness requirements, our aggregate contractual liability is limited to the fees paid to us in the preceding 12 months. This business limit does not override the exclusions from limitation above.

11. Complaints and accessibility

Contact support@sourceweave.app or write to our registered office with a complaint, the relevant account or order and the outcome sought. We will investigate, keep you informed and explain our decision and any next steps. Ask us for an accessible alternative or a reasonable adjustment if a website control is difficult to use. You do not need to use an account form to exercise a legal right. We do not require arbitration or restrict your right to court proceedings.

12. Law and updates

English and Welsh law governs these terms. Consumers retain the mandatory protections and rights to use local courts applicable where they live, including in the EU. Nothing requires a consumer to give up those rights. Updated terms apply to future purchases; changes to an existing subscription are subject to the notice and exit protections above. We retain the version supplied with your purchase.
